does a counteroffer agreement become seperate and supercede the purchase agreement?

Neither is an agreement until all parties sign. A counter offer is usually used to change or ammend parts of an original offer, but until everyone signs, it is simple a tool to negotiate a final contract.

If you already have your home listed with another realtor, I must point you to their direction for an answer. If not and you are selling your home on your own, then without having read the offer, I would be foolish to advise you.
